On November 2, 2026, ON Semiconductor Corporation subsidiary Semiconductor Components Industries, LLC entered into a definitive merger agreement to acquire Ferric, Inc. Under the terms, eligible Ferric securityholders will receive $600.0 million in upfront cash, plus up to an additional $175.0 million contingent upon achieving specified revenue milestones.
The transaction is subject to regulatory approval under the HSR Act and is expected to close in the fourth quarter of 2026.
