On September 16, 2026, Generac Holdings Inc. entered a Transaction Agreement with Amazon.com, Inc. Generac issued a warrant to Amazon.com NV Investment Holdings LLC to acquire up to 1,693,745 shares of Generac common stock at an exercise price of $200.9266 per share. The warrant vests based on aggregate gross payments up to $8 billion received by Generac from Amazon for backup power generators, with initial deliveries expected to total $2.4 billion in 2027 and 2028.
