GlobalFoundries Inc. entered a Securities Issuance Agreement on September 3, 2026, with the U.S. Department of Commerce. Pursuant to the agreement, GFS will issue 9,907,399 ordinary shares to the DOC at an issuance price of $37.85 per share, totaling approximately $374.99 million. The agreement includes transfer and voting restrictions, along with customary resale shelf registration rights for the DOC.
